How it works 

Notes will be issued on the 1st of March 2025 and run for 12 months with new issuances on the 1st of each month. Funds invested will qualify to be included in the next issuance provided that funds are received before the 25th of the preceding month. The simple interest of 9% per
annum will accrue monthly but be capitalized annually. Interest accrues and is not paid out as dividends until redemption, which will occur anytime thereafter with 90 days' notice. There is however a 1-year lock-in period. The full value of the capital and accrued interest will be paid into the investors’ wallet 14 days after the end of the month following redemption. Once funds are reflected in the investor’s wallet, they are available for immediate withdrawal or reinvestment.

The AccretivPLUS TI Note is backed by a medical commercial real estate portfolio exceeding $200 million in value with over $80 million invested equity, providing investors with structured risk-adjusted returns in a resilient asset class.

Company Info

AccretivPLUS (ACC+) has been established to consolidate the interests of investors in syndicated individual
healthcare buildings across the United States, currently managed by OrbVest. The purpose of the consolidation is to assemble a large and attractive portfolio of stable income-producing healthcare real estate with the ultimate goal of generating a profitable exit in 5 years and a consistent quarterly dividend yield during this growth period.
The identified target 30 buildings are all attractive profitable assets spanning 9 states predominantly in the smile belt and located in the fastest growing cities and counties, where income is derived from long-term leases entered into with an excess of 140 healthcare providers.

The current portfolio has consistently distributed more than 7% COC at project level. But the benefits
of a portfolio will improve efficiencies and provide a significantly better outcome while also lowering the
overall risk by establishing diversification. It also provides a platform to accelerate the growth and quality
of the portfolio to take advantage of the opportunity where current economic conditions have created a
strong buyer’s market.

The AccretivPLUS TI Note, listed on the MERJ Exchange, offers investors an alternative fixed-income opportunity that has become possible due to persistent high U.S. interest rates. Notes have become popular amongst investors who are looking for an alternative to the high levels of uncertainty and volatility in equity markets. With 10-year Treasury yields expected to remain above 4.25% through 2025, institutional and high-net-worth investors are shifting toward private debt products for fixed returns and lower volatility.

Purpose and Uses

AccretivPLUS underlying buildings have senior debt in the capital stack sourced mostly from traditional banks. Most of these loans enjoy exceptionally low rates of interest because of the time that the rate was fixed on the acquisition of the building. It would make sense to raise additional debt from these institutions for purposes of installing new tenants, extending existing tenants or undergoing renovation or improvement of the buildings. This would result in the full loan undergoing a restructure aligning with current interest rates. In some instances, this would result in an increase in the interest on the senior debt from 3% to 7%.

The company intends to capitalize on market conditions and acquire new buildings at a discount, often requiring short closing periods. AccretivPLUS will acquire the building and raise the equity required to replace the mezzanine debt. The company may also use Note funds for this purpose. AccretivPLUS is raising these notes exclusively for the improvement of the underlying real estate of the Company, to advance its goal of growing the value of its portfolio of healthcare buildings.
